Lister Agreement

For property owners listing a home for sale, rent, or lease

This Lister Agreement (“Agreement”) governs your use of Factour as a property owner, landlord, or authorized representative (“Lister,” “you”). It is entered into with Factour, LLC, a Tennessee limited liability company (“Factour,” “we,” “us,” “our”).

Companion agreements: Consumer Terms of Service, Privacy Policy.

1. Acceptance and Relationship to Other Terms

By creating a listing or using the Factour showing tool as a property owner or landlord, you agree to this Agreement.

The Consumer Terms of Service at /terms also apply to you and are incorporated by reference. Where this Agreement conflicts with the Consumer Terms as to your activity as a Lister, this Agreement controls.

You must be at least 18 years old and legally able to enter into contracts.

This Agreement applies whether you are offering your property for sale or for rent or lease. References to a “sale” include a lease or rental where the context applies, and references to a “buyer” include a prospective renter or tenant.

2. This Is Not a Listing Agreement

This Agreement is not a real estate listing agreement, a leasing agreement, or a property management agreement.

Factour is not a real estate brokerage and does not hold a real estate brokerage license in any state.

Factour is not your broker, agent, leasing agent, property manager, or representative. Factour does not:

  • List, market, sell, lease, or rent your property on your behalf
  • Charge a commission, a success fee, or any fee tied to the sale or lease of your property
  • Have an exclusive or non-exclusive right to sell or lease your property
  • Screen, qualify, or approve tenants, and does not perform tenant screening of any kind
  • Collect, hold, or disburse rent, security deposits, or transaction funds

You are free to sell or lease your property yourself, to list it with any brokerage at any time, and to use any other service simultaneously. Nothing in this Agreement obligates you to sell, lease, accept any offer or application, or continue using the Platform.

Factour is a software tool. You remain in complete control of your property, your price or rent, your terms, and your decisions.

3. The Services Provided to You

Factour provides, free of charge:

  • A listing page for your property, whether offered for sale or for lease
  • A shareable booking link
  • A printable QR sign referencing your booking link
  • Availability management and appointment scheduling
  • Verification options you control
  • Automated confirmations, reminders, and notifications

These services are provided at no cost. There is no listing fee, subscription fee, commission, or success fee.

We may modify, suspend, or discontinue any feature at any time.

4. Your Eligibility and Authority

You represent and warrant that:

  • You own the property, or you are lawfully authorized by the owner to market and show it
  • You have full authority to enter into this Agreement
  • Your use of the Platform does not breach any existing listing agreement, brokerage agreement, property management agreement, homeowners association rule, lease, mortgage covenant, or other obligation
  • If the property is co-owned, you have the consent of all co-owners
  • If the property is currently occupied by a tenant, you have provided any notice and obtained any consent required by law and by that tenant’s lease before showing the property
  • If you are a licensed real estate professional listing your own property, you have complied with any disclosure obligations that apply to you

If you are currently under a listing agreement, property management agreement, or brokerage agreement, review it before using the Platform.

5. Occupied Properties and Tenant Rights

If your property is occupied by a tenant, additional obligations apply to you.

You are solely responsible for complying with all landlord-tenant law

, including notice requirements before entry, permitted hours of entry, the tenant’s right to quiet enjoyment, and any additional restrictions in the lease or in local ordinance.

You must not schedule or permit a showing in violation of a tenant’s rights. Factour does not track, calculate, or enforce notice periods, and does not verify that you have the right to enter or show an occupied property.

You are responsible for the privacy and personal property of any occupant during a showing.

6. Your Listing Content

6.1 Ownership and License

You retain ownership of the photos, text, and other content you submit (“Your Content”). You grant Factour a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify for formatting, resizing, and display, publish, distribute, and display Your Content for the purpose of operating, promoting, and improving the Platform.

6.2 Accuracy Is Your Responsibility

You are solely responsible for the accuracy and completeness of your listing.

This includes price or rent, deposit and fee amounts, lease terms, condition, square footage, lot size, boundaries, age, permits, zoning, school assignment, HOA information, pet and occupancy policies, and any other statement. Factour does not verify, audit, appraise, or inspect any listing or property.

6.3 Required Disclosures Are Your Responsibility

Most states require sellers to make specific disclosures about property condition, known defects, and material facts. Landlords are subject to their own disclosure obligations, which vary by state and locality. Federal law requires lead-based paint disclosures for most housing built before 1978, for both sales and rentals.

You are responsible for identifying and making all disclosures required in your jurisdiction.

6.4 Content Standards

Your Content must not:

  • Be false, misleading, fraudulent, or deceptive
  • Advertise a property you are not authorized to market
  • Contain unlawful, defamatory, obscene, harassing, or hateful material
  • Violate fair housing laws, including in advertising language
  • Infringe any third party’s intellectual property or privacy rights
  • Contain another person’s personal information without their consent

7. Showings at Your Property

7.1 You Decide

You control who enters your property and when.

You set your availability and you confirm or decline each appointment request. Factour does not confirm appointments for you.

7.2 Confirmation Is a Time Decision

Confirming an appointment is a decision about a time slot. See Section 8 regarding fair housing constraints on how you may treat individual prospective buyers and renters.

7.3 Factour Does Not Attend

Factour does not attend, host, supervise, monitor, or conduct owner-hosted showings. No Factour representative will be present.

You are solely responsible for:

  • The safety and physical condition of your property
  • Securing valuables, medications, firearms, sensitive documents, and personal information before any showing
  • The conduct of the showing
  • Supervising any person you allow on the property
  • Compliance with all laws applicable to showing your property
  • Any injury, damage, loss, or theft occurring at your property

7.4 Safety Acknowledgment and Assumption of Risk

Allowing strangers into your property carries real risk. Please read this.

Factour connects you with people you do not know and facilitates their entry into your property.

You acknowledge that Factour does not conduct background checks or criminal history screening, screen or vet any person for safety or character, attend or supervise any showing, control the conduct of any person before, during, or after a showing, or provide security or emergency response services.

You voluntarily assume all risks associated with showings at your property, including personal injury, death, assault, property damage, theft, fraud, and misrepresentation by any visitor.

Recommended precautions.

Have another adult present during showings. Secure or remove valuables, prescription medications, firearms, financial documents, keys, and personal identification before any visit. Maintain appropriate property and liability insurance. Tell someone when a showing is scheduled. Trust your instincts and end any showing that feels unsafe. In an emergency, contact local law enforcement immediately. Do not contact Factour for emergency assistance.

8. Fair Housing Compliance

This section is mandatory and is not waivable.

Federal, state, and local fair housing laws apply to both the sale and the rental of housing. You must comply with the federal Fair Housing Act and all applicable state and local fair housing laws. You may not refuse, discourage, delay, or otherwise treat any prospective buyer or renter differently on the basis of race, color, religion, sex including sexual orientation and gender identity, national origin, familial status, disability, or any other characteristic protected under applicable law.

This applies to your listing content, your advertising language, your communications, your showing decisions, and any application or screening process you conduct outside the Platform.

Platform constraints that support compliance:

  • Verification requirements you enable apply uniformly to every person who attempts to book your listing. You cannot apply them selectively
  • Appointment confirmation is a decision about a time slot, not about a person
  • Factour does not display prospective buyer or renter photographs to you

You may not use the Platform to screen, select, prefer, or reject individual prospective buyers or renters based on identity or any protected characteristic.

9. Verification: What It Is and What It Is Not

You may enable verification requirements for your listing. Verification is performed by third-party providers and may include phone confirmation, payment card confirmation, and government identification verification.

Verification exists to reduce automated bookings, spam, duplicate accounts, and non-serious requests. That is its purpose.

Verification is not a safety measure and must not be relied on as one.

  • Verification is not a background check, criminal history check, sex offender registry check, or safety screening of any kind
  • Verification does not evaluate any person’s intentions, character, honesty, or propensity for harm
  • Verification does not assess creditworthiness, financial capacity, ability to purchase or rent, or tenant suitability
  • Verification is not a consumer report, and Factour is not a consumer reporting agency
  • Verification is not tenant screening and must not be used as a substitute for any tenant screening you lawfully conduct
  • A verified badge is not an endorsement, recommendation, or assurance that any person is safe or trustworthy

10. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS.” FACTOUR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTOUR’S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED $100 OR THE AMOUNTS YOU PAID TO FACTOUR IN THE 12 MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. FACTOUR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify, defend, and hold harmless Factour from any claims, liabilities, damages, costs, and expenses arising from your use of the Platform, your listing content, or your violation of this Agreement.

11. Governing Law

This Agreement is governed by the laws of the State of Tennessee, without regard to conflict of law principles.
